This Intellectual Property Consumer Agreement (hereinafter referred to as the “Agreement”) is made by and between Vogu LLC and the purchaser of a Tether Assisted Robotic Skeleton (a “TARS”) from Vogu (the “Purchaser” or “You” or “Your”). This Agreement becomes effective at the time You purchase Your TARS. If You do not agree with any of the terms in this Agreement, Your only recourse is to refrain from purchasing a TARS.

1. TARS. Vogu has created or otherwise obtained all intellectual property rights to various different facial or other human or robotic characteristics and attributes (each an “Attribute”), which will be randomly combined to create each TARS (for example, ear, eye, background, power unit, quantum core, sensor, face, apex, sense emulator, aux, torso, and hand attributes, and/or the like). Each TARS will be unique, because each TARS includes a unique combination of selected Attributes for that TARS. No two TARS will comprise the same combination of Attributes. Additionally, each TARS is a Non-Fungible Token (“NFT”) stored on the Ethereum blockchain.

2. Ownership. You will fully own Your purchased TARS, as originally provided by Vogu (Your “Purchased TARS”). In response to the Purchaser paying the price of a TARS, Vogu hereby sells, assigns, and transfers to Purchaser all right, title, and interest in and to Your Purchased TARS, and all intellectual property rights solely in the specific, complete combination of all Attributes included in Your Purchased TARS. As Purchaser will understand, one or more Attributes included in Your Purchased TARS will be included in one or more other TARS provided or sold to other purchasers. Accordingly, Purchaser cannot receive, and does not receive, any intellectual property rights in individual Attributes included in the Purchased TARS, or in any combination of Attributes other than the specific, complete combination of all Attributes included in Your Purchased TARS. Therefore, Vogu retains all intellectual property rights in each Attribute, and in any combinations thereof, except to the specific, complete combination of all Attributes in Your Purchased TARS conveyed to You herein.

3. TARS Usage. You may use Your Purchased TARS for any lawful purpose. By purchasing a TARS, however, Purchaser agrees not to use the Purchased TARS in a manner depicting or encouraging illegal acts, or that is sexually explicit, libelous, obscene, violent, hateful, or slanderous.

4. Vogu Trademarks. Purchaser will not have the right to use any trademarks owned by or associated with Vogu or any of its affiliates without Vogu’s prior written consent. However, You may use any Vogu trademark that was incorporated by Vogu in Your Purchased TARS as part of Your use of the Purchased TARS, but this limited license to do so will terminate upon Your transfer of rights in Your Purchased TARS to another owner.

5. Resale. You, of course, may resell or otherwise transfer your TARS to a third-party. By purchasing the TARS from Vogu, however, You acknowledge and agree that all terms of this Agreement are binding on any subsequent owner and that you will bind the subsequent owner to all the terms of this Agreement, including this Section 5 (such that the subsequent owner must bind any succeeding owner to the terms of this Agreement, and so on, thus, causing all owners of the purchased TARS to be subject to this Agreement).

6. Miscellaneous. If any provision or any portion of any provision of this Agreement is construed to be illegal, invalid, void, or unenforceable, such provision shall be deemed stricken and deleted from this Agreement to the same extent and effect as if never incorporated herein, but all other provisions of this Agreement shall continue in full force and effect. This Agreement will be binding upon, and will inure to the benefit of, each party and their respective successors and assigns.
